1. Acceptance of Terms

By downloading, installing, accessing, or using the HairSync mobile application or website ("App," "Service," or "we"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the App.

These Terms constitute a legally binding agreement between you ("User" or "you") and Yosha Ventures LLC. Your use of the App signifies your acceptance of these Terms and our Privacy Policy, which is incorporated herein by reference. We reserve the right to modify these Terms at any time; continued use after changes constitutes acceptance.

2. Medical Disclaimer

IMPORTANT: THIS APP IS NOT A MEDICAL DEVICE AND DOES NOT PROVIDE MEDICAL ADVICE.

HairSync is designed for educational and tracking purposes only. The App:

• Does not diagnose, treat, cure, or prevent any medical condition
• Does not replace professional medical advice, diagnosis, or treatment
• Should not be used for medical emergencies
• Provides AI-generated insights and community content for informational purposes only

Always seek professional medical advice from qualified healthcare providers regarding your hair transplant recovery, any concerns, complications, or medical decisions. Never disregard professional medical advice or delay seeking treatment based on information from this App. In case of medical emergency, contact emergency services immediately.

3. Intended Use and Eligibility

The App helps individuals track their hair transplant recovery through photo documentation, symptom logging, medication reminders, a recovery community, and AI-powered insights.

• You must be at least 18 years old to use this App
• You must agree to use the App responsibly and for its intended purpose
• You must not use the App if prohibited by applicable law

4. Subscriptions and Payment

HairSync offers a free tier and an optional premium subscription:

• Free: recovery timeline and milestones, guided progress photos, symptom and medication tracking, and community access
• HairSync Pro Annual: $59.99 per year, after a 14-day free trial
• HairSync Pro Monthly: $9.99 per month

Pro unlocks AI-powered features including the AI Recovery Coach, AI photo analysis, and advanced progress insights.

Free Trial: New subscribers to the Pro Annual plan are eligible for a 14-day free trial. You will not be charged during the trial period. If you do not cancel before the trial ends, your subscription automatically converts to a paid annual subscription at $59.99/year.

Billing and Renewal: Subscriptions are billed through the Apple App Store. Payment is charged to your App Store account upon confirmation of purchase (or at the end of the free trial, if applicable). Subscriptions automatically renew unless auto-renew is turned off at least 24 hours before the end of the current billing period.

Cancellation and Refunds: You may cancel anytime through your App Store account settings; cancellation takes effect at the end of the current billing period and you retain access until then. Refunds are subject to Apple's policies; we do not provide direct refunds.

Price Changes: We reserve the right to change subscription pricing with reasonable advance notice. Continued use after a price change constitutes acceptance.

5. Community and Journey Pages

• Community participation is pseudonymous — your real name and email are never shown
• Posts must relate to hair transplant recovery and follow the conduct rules in Section 10
• Content is moderated; we may remove content or restrict accounts that violate these Terms
• Public journey pages are opt-in: enabling one publishes your shared progress posts to the web under your pseudonym until you turn it off
• Clinic sharing is opt-in: connecting with your clinic lets its staff view your recovery timeline and shared photos until you disable sharing
• You may not give medical advice in the community or represent yourself as a medical professional unless properly licensed

6. User Account and Data

You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You are responsible for the accuracy of information you provide; inaccurate data may affect the quality of AI insights. You retain ownership of your personal data and photos — by using the App, you grant us a limited license to process your data as described in our Privacy Policy to provide the Service. While we implement backup systems, you are encouraged to maintain your own copies of important data; we are not liable for data loss.

7. AI-Powered Features and Limitations

The App uses artificial intelligence (via OpenAI) to analyze recovery photos and answer recovery questions. You acknowledge that:

• AI analysis may not be accurate and can misinterpret images or provide incorrect assessments
• AI insights are for informational purposes only, not medical advice
• You should not rely solely on AI insights for medical decisions

We make no guarantees about the accuracy, completeness, or reliability of AI-generated insights. Your photos are processed by third-party AI services in accordance with our Privacy Policy and are not used to train their models.

8. Intellectual Property Rights

The App, including its design, features, algorithms, text, graphics, and software, is owned by Yosha Ventures LLC and protected by intellectual property laws. You may not copy, modify, distribute, create derivative works, reverse engineer, or use our trademarks without permission. You retain rights to photos and content you upload, and grant us a non-exclusive license to use, store, and process your content solely to provide the Service.

9. Service Availability and Modifications

We strive to maintain availability but do not guarantee uninterrupted access; the Service may be temporarily unavailable due to maintenance, technical difficulties, third-party outages, or force majeure. We reserve the right to modify, suspend, or discontinue features, and will provide reasonable notice of significant changes that materially affect the Service.

10. User Conduct

You agree not to:

• Upload inappropriate, offensive, or illegal content
• Share content that violates others' privacy or rights
• Harass, threaten, or harm other users
• Impersonate others or create fake accounts
• Attempt to access other users' accounts or data
• Interfere with the App's operation or security
• Use the App for any illegal or unauthorized purpose

11. Privacy and Data Protection

Our Privacy Policy explains how we collect, use, and protect your information, including health-related data. You consent to our processing of health data as necessary to provide the Service.

12. Disclaimers and Limitation of Liability

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR UNINTERRUPTED OPERATION. WE DISCLAIM ALL LIABILITY FOR MEDICAL OUTCOMES, COMPLICATIONS, OR ADVERSE EVENTS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY DAMAGES EXCEEDING THE TOTAL AMOUNT PAID BY YOU FOR THE APP IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. Some jurisdictions do not allow certain disclaimers or limitations, so these may not apply to you.

13. Indemnification

You agree to indemnify, defend, and hold harmless Yosha Ventures LLC, its officers, directors, employees, agents, and affiliates from any claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from your use of the App, your content, your violation of these Terms or third-party rights, any medical decisions made based on App information, or your negligent or wrongful conduct. This obligation survives termination.

14. Termination

You may terminate your account at any time by deleting your account in the App or contacting support. We may terminate or suspend your access immediately for violation of these Terms, fraudulent or illegal activity, harmful behavior toward other users, or technical, security, or business reasons. Upon termination, your access ceases and your data may be deleted according to our Privacy Policy; provisions that by their nature should survive (disclaimers, limitations of liability, indemnification) survive.

15. Third-Party Services

The App integrates with third-party services including Firebase (Google), OpenAI, RevenueCat, and Apple services. Your use of third-party services is subject to their respective terms and privacy policies. The App's functionality depends on these services; we are not liable for their interruptions.

16. Dispute Resolution and Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Utah, United States, without regard to conflict of law principles.

Disputes shall be resolved through: (1) good-faith informal negotiation for 30 days; (2) if unresolved, binding arbitration in accordance with the rules of the American Arbitration Association. Either party may seek injunctive relief in court for intellectual property violations or urgent matters. You waive the right to participate in class action lawsuits against us.

17. Miscellaneous

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us. If any provision is deemed invalid, the remaining provisions remain in effect. Our failure to enforce any provision is not a waiver. You may not assign these Terms without our written consent; we may assign our rights and obligations. We are not liable for delays or failures due to circumstances beyond our reasonable control. These Terms are written in English; any translations are for convenience only.
